1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and MommaLinks, LLC ("Company," "we," "us," or "our"), concerning your access to and use of the MommaLinks website, mobile application, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. DEFINITIONS

"Content" refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

"Member" refers to mothers or soon-to-be mothers who register to use our Service.

"Partner" refers to businesses that provide discounts, offers, or services through our platform.

"Subscription" refers to the recurring payment arrangement for access to our Service.

3. MEMBER ACCOUNTS

3.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and maintain and promptly update this information.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Eligibility

Our Service is intended for mothers and soon-to-be mothers. By creating an account, you represent that you meet this eligibility requirement. We reserve the right to verify your eligibility at any time.

3.4 Account Restrictions

You may not:

• Create more than one account per person

• Share account credentials with others

• Transfer your account to another person

• Use the Service for any illegal or unauthorized purpose

4. SUBSCRIPTIONS AND PAYMENT

4.1 Subscription Terms

MommaLinks offers subscription-based access to our discount service. By subscribing, you agree to pay the subscription fee indicated at the time of purchase.

4.2 Billing and Renewal

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You authorize us to charge your payment method for the subscription fee on a recurring basis.

​

4.3 Free Trials

We may offer free trial subscriptions. Unless you cancel before the end of the trial period, you will be automatically enrolled in the paid subscription and charged accordingly.

4.4 Price Changes

We reserve the right to adjust pricing for our Service. Any price changes will become effective at the end of the then-current billing cycle.

4.5 Refunds

Payments are non-refundable except where required by law. Certain refund requests may be considered on a case-by-case basis and granted at the sole discretion of the Company.

5. USE OF THE SERVICE

5.1 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service for your personal, non-commercial use.

5.2 Restrictions

You may not:

• Use the Service in any way that violates any applicable laws or regulations

• Engage in any data mining, data harvesting, or other systematic extraction of data

• Bypass or circumvent measures designed to limit access to the Service

• Decompile, reverse engineer, or attempt to obtain the source code of the Service

• Remove any copyright or other proprietary notices from the Service.

5.3 User Contributions

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material. You are solely responsible for the Content that you post on or through the Service.

5.4 Mobile Application Terms

5.4.1 Mobile Device Requirements

Our mobile application is available on iOS and Android devices. You are responsible for obtaining and maintaining a compatible mobile device and internet connection required to access and use the application.

5.4.2 App Store Terms

When you download our mobile application from the Apple App Store, Google Play, or any other app distribution platform ("App Store"), you acknowledge and agree that:

• These Terms are between you and MommaLinks, not with the App Store

• The App Store has no obligation to provide maintenance or support services for our application

• In the event of any failure of our application to conform to warranties, you may notify the App Store, which may refund your purchase price for the application (if applicable), and the App Store has no other warranty obligation with respect to our application

• The App Store is not responsible for addressing any claims related to our application

• The App Store is a third-party beneficiary of these Terms.

5.4.3 Mobile Permissions

Our mobile application may request certain permissions on your device, including access to your camera (for scanning QR codes), location (for finding nearby deals), and push notifications (for alerts about new offers). You can manage these permissions through your device settings.

5.4.4 Updates

We may from time to time develop and provide updates for our mobile application, which may include upgrades, bug fixes, patches, and other error corrections. Updates may also modify or delete features. You agree that we have no obligation to provide any updates or continue to provide particular features.

6. DISCOUNTS AND OFFERS

6.1 Availability

Discounts and offers are available only to Members with active subscriptions. All discounts and offers are subject to availability and may change without notice.

6.2 Redemption

Discounts must be redeemed according to the specific terms of each offer. MommaLinks is not responsible for a Partner's refusal to honor a discount if the Member fails to comply with the Partner's redemption requirements.

​

6.3 Limitations

Discounts may not be combined with other offers unless specifically stated. Discounts have no cash value and cannot be exchanged for cash. Discounts may expire as indicated on the offer.

​

6.4 Partner Responsibility

Partners are solely responsible for the products, services, and experiences they provide. MommaLinks is not liable for any Partner's actions, omissions, or the quality of their products or services.

7. PARTNERS

7.1 Partner Obligations

Partners agree to honor all valid discounts presented by MommaLinks Members according to the terms of their agreement with MommaLinks.

​

7.2 Partner Content

Partners are solely responsible for the accuracy and legality of the information, offers, and content they provide to MommaLinks for distribution through the Service.

​

7.3 Relationship with Partners

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between MommaLinks and any Partner.

8. INTELLECTUAL PROPERTY

8.1 MommaLinks Property

The Service and its original content, features, and functionality are owned by MommaLinks and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Feedback

If you provide us with any feedback or suggestions, you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback for any purpose without compensation to you.

​

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE COMPANY MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT DEFECTS WILL BE CORRECTED.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of any changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

14. COMMUNICATIONS

14.1 Electronic Communications

14.1.1 Types of Email Communications

We may send you the following types of email communications:

• Transactional emails: Account verification, password resets, receipt confirmations, and service updates

• Marketing emails: Newsletters, promotional offers, and new partner announcements

• Survey emails: Feedback requests and user research opportunities

• Community emails: Updates on events, educational content, and community initiatives.

14.1.2 Email Opt-Out Procedures

You may opt out of marketing, survey, and community emails at any time by:

• Clicking the "unsubscribe" link at the bottom of any marketing email

• Adjusting your communication preferences in your account settings

• Emailing hello@mommalinks.com with your opt-out request

Please note that you cannot opt out of transactional emails that are necessary for the operation of your account.

14.2 SMS Communications

14.2.1 Types of SMS Communications

We may send you the following types of SMS communications:

• Transactional messages: Account verification codes, password reset codes, and important service updates

• Marketing messages: Special offers, deal alerts, and promotional information

• Reminder messages: Notifications about saved offers or expiring deals.

14.2.2 SMS Opt-Out Procedures

You may opt out of SMS messages at any time by:

• Replying "STOP" to any SMS message we send you

• Adjusting your communication preferences in your account settings

• Emailing hello@mommalinks.com with your opt-out request

Standard message and data rates may apply to all SMS communications. Frequency of messages varies. By providing your mobile number and opting in to SMS communications, you represent that you are the account holder or have permission from the account holder.

14.3 Push Notifications

If you install our mobile application, we may send push notifications to your mobile device. You can opt-out of receiving push notifications through your device settings. Please note that opting out of receiving push notifications may impact your use of the application.

14.4 Location Data

Our mobile application may collect precise location data from your device with your consent. You can enable or disable location services when you use our application through your device settings. Please note that some features of the application may not function properly if location services are disabled.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

16. DISPUTE RESOLUTION

Any dispute arising from or relating to these Terms or your use of the Service shall be resolved through binding arbitration in Las Vegas, Nevada, in accordance with the rules of the American Arbitration Association.

17. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and the Company.
